SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached a deal to purchase Hugging Face for approximately $12.93 billion. The agreement was finalized on September 2, 2026. Nvidia plans to pay about $11.9 billion to Hugging Face shareholders, with adjustments typical in such transactions. An additional amount of up to around $1 billion will be allocated for equity-based retention awards for eligible staff. The companies anticipate closing the deal in the first half of 2027, pending necessary approvals.

Hugging Face offers a prominent platform dedicated to artificial intelligence models, datasets, software libraries, and developer tools. Nvidia reports that the platform has more than 18 million users, including developers, researchers, and creators. It hosts over 3 million models and roughly 500,000 datasets. Additionally, it provides access to over 1 million AI development applications. More than 200,000 companies utilize Hugging Face services to explore, test, customize, and implement AI systems across various computing environments.
Following the acquisition, Hugging Face will continue to support multiple models, frameworks, cloud services, and hardware platforms. Developers will not need Nvidia hardware to access the platform. The company remains committed to supporting open-source and open-weight models from various providers. Its services will stay compatible with multiple cloud environments and accelerator technologies. Nvidia also confirmed that the platform will maintain support for silicon vendors beyond its own products, as part of the transaction commitments.
Open AI platform commitments will persist
Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. The company has expanded into model hosting, datasets, developer libraries, and cloud-based AI tools. In August 2023, Hugging Face achieved a valuation of $4.5 billion after raising $235 million from tech investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects linking developers with Nvidia’s computing infrastructure and software tools.
Nvidia disclosed the deal in a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the acquisition is still pending and has not yet closed. Finalization depends on regulatory approvals and customary closing procedures. Nvidia also outlined operational commitments for Hugging Face after the deal. These include ongoing access to models and datasets, support for multiple clouds, and compatibility with hardware from other semiconductor firms.
Targeted closing expected in early 2027
Nvidia already has a significant presence within Hugging Face’s developer community. The company states it has published over 500 models and more than 250 open datasets on the platform. Nvidia also supplies software libraries and development tools that users can adapt for their AI projects. Hugging Face facilitates model discovery, testing, customization, and deployment. Its platform serves companies, researchers, and independent developers working on machine learning, generative AI, and other artificial intelligence applications.
The $12.93 billion Nvidia deal to acquire Hugging Face will be reviewed until all conditions are fulfilled. Nvidia expects the transaction to finalize in the first half of 2027. Hugging Face will continue to support developers across various models, clouds, frameworks, and platforms under the commitments announced. The platform will maintain its multi-cloud and multi-accelerator approach. Until then, Nvidia and Hugging Face will operate independently under the terms of the signed agreement.
